Estonia

Company administration, fintech & MiCA

Assess Estonia for a company serving international customers, a fintech technology business or a crypto-service model requiring current EU authorisation.

Why consider Estonia?

Company administration and the treatment of retained business profit are relevant to a reinvestment-led model. Compare them with where the owners, management and staff actually work.

Crypto services

Current crypto-asset service authorisation is handled by Finantsinspektsioon under MiCA. An older FIU permission must not be presented as a replacement for a current CASP authorisation.

PSP, fiat and payment services

An Estonian company or e-residency does not provide payment-institution, e-money or banking permissions. Assess financial activities separately from supplying software.

Company formation and operations

Company formation, e-residency and personal tax residence are different matters. A company managed or operated abroad may create obligations outside Estonia.

Tax, incentives and the full cost

Estonian corporate income tax generally arises on distributions and specified taxable payments rather than retained profit. This does not remove foreign permanent-establishment or owner-level tax obligations.

Compare three figures: setup cost, the cost to operate for a year, and the tax outcome for both company and owner. Any incentive should state its eligibility conditions and be confirmed for your facts before it is included in a proposal.

Banking and provider fit

An incorporated company still needs a provider willing to onboard its business model. Prepare ownership, customers, transaction flows and source-of-funds evidence.

Providers serving several countries may list under Global / multiple markets or European Union / EEA. Confirm that a provider serves your actual market.

CHOOSING THE COMPANY OR PROVIDER

Compare what makes the offer work.

The country is one decision. The company, permissions, people and commercial terms are the next.

01What you actually receive
Company shares or assets, an application service, a partner contract or software. Ask for inclusions, exclusions and the party responsible for delivery.
02Permissions and operating history
For a regulated company or provider, confirm the current registry entry, exact services, restrictions, liabilities and any change-of-control conditions.
03The full cost to operate
Compare price, capital, local staff, compliance, accounting, software, banking fees and any reserves. Include the conditions and timing of any claimed tax benefit.
04Banking and technology continuity
Confirm account and partner acceptance, settlement terms, code and data ownership, service support and what must be re-approved after a transaction.
