Terms for using PAYMESE
These terms govern the account and marketplace operated by ICSP OÜ, registry code 16454909. Deal-specific fees, confidentiality duties and disclosure permissions require a separate agreement in the private deal room.
Who provides the platform
PAYMESE is operated by ICSP OÜ, registry code 16454909. The marketplace helps participants describe opportunities, assess potential matches and agree a controlled introduction. The underlying buyer, seller and service provider are identified in their own transaction or service contract. ICSP is responsible for any services it separately agrees to supply itself; an intermediary label does not remove those obligations.
Your account and authority
Provide accurate account and company details, act only for a business you are authorised to represent and promptly report material changes. Account sign-in is not identity verification. Verification applies to the stated person and represented company; it does not transfer to a different company or representative. Do not share your account or submit another person's identity credentials.
Listings and buyer requests
Sellers and providers must have authority to offer the stated business or service, describe its scope accurately and disclose material restrictions, liabilities and required approvals during due diligence. Buyers must state their requirements and capacity honestly. Do not post misleading, unlawful or unauthorised content. Public teasers exclude names, brands, direct contact details and identifying links. Publication review is not valuation, endorsement or confirmation that a transaction is suitable.
Identity and business checks
A verified-user status is recorded only after PAYMESE reviews an external identity-check result and the represented business and authority checks. PAYMESE records the method, reference, reviewer, scope and review validity; it does not accept passport copies, ID-card copies or selfie uploads. A badge does not guarantee solvency, funding, a licence, transaction quality or the conduct of a counterparty. A check may require renewal, be suspended or be revoked. The platform's checks do not replace checks required of banks, advisers, notaries or regulated providers.
Introductions and fees
An initial enquiry creates no fee obligation by itself. There is no automatic buyer or service-client introduction fee. Before an introduction, both parties receive and separately accept the same current deal-specific terms, including each party's fee, calculation basis, payment event, tax treatment and confidentiality obligations. Each party owes only its expressly agreed fee. PAYMESE releases contacts only after the required current account checks and both acceptances are in place. A separate paid assignment requires an expressly agreed scope and price.
Documents and confidentiality
Describe what you are offering or seeking in the listing fields. New customer-document uploads are not accepted on PAYMESE. Do not paste passport details, bank statements, credentials or unnecessary personal information into text fields. After an agreed introduction, the parties and their advisers arrange any necessary due-diligence documents through a separately agreed secure channel. Existing files from an earlier platform release remain access-restricted until removed; this policy does not claim those historical files were automatically deleted.
Underlying contracts and responsibilities
The buyer and seller or provider agree the underlying price, deliverables, payment, warranties, transfer requirements and remedies in their own contract. Each remains responsible for its representations, its performance, required professional advice, due diligence and approvals. A registration or licence is not offered as freely transferable where the applicable regime requires a change-of-control approval, notification or new application. PAYMESE does not guarantee completion, returns, regulatory approval, banking or another participant's performance.
PAYMESE's responsibilities and limits
ICSP remains responsible for its own agreed platform and separately contracted services. Subject to mandatory law and ICSP's own obligations, ICSP does not assume a buyer's, seller's or provider's obligations under their underlying contract. Nothing excludes liability that cannot lawfully be excluded, including liability for intentional breach. These terms do not authorise regulated activity or remove obligations imposed by law. Transaction money must be paid through the arrangements agreed by the transaction parties; PAYMESE does not provide client-money custody or escrow through this marketplace.
Concerns, suspension and disputes
Report inaccurate listings, unauthorised activity or a dispute through your private workspace or to ICSP at its registered address. PAYMESE may request clarification, restrict an account, pause a listing or introduction and preserve relevant records where reasonably needed to investigate a concern or meet a legal duty. The parties should attempt to resolve a reported dispute in good faith; this does not restrict access to a court, regulator or other mandatory remedy.
Acceptance and applicable law
Your explicit acceptance is recorded with your account, stated representative and company, time, document version and a copy of the accepted text. Material changes requiring agreement are presented for a new acceptance. Previously accepted deal-specific terms are not silently replaced. These account terms are governed by Estonian law, with disputes before the competent Estonian courts, except where mandatory applicable law provides otherwise. Acceptance on this website does not replace a transaction's legally required signature or notarial form.
